I am new to this so please excuse my ignorance. This is ancient greek to me but I am trying to start my own clan. I have download & unzip the update from phpBB 2.0.20 to 2.0.23. I see in the "Modules" folder where things go but I am confused on where the folder called "Includes" go as there is 3 files in there called:

functions.php
functions_admin.php
functions_validate.php

I do not know where these go. Also when I unzip the file it came with 2 folders (Includes & Modules) & also a file called "upgrade 22-23.php" Where does this file go?

Once I have all these files uploaded to the server, what should I do next?

If anyone can help me I would greatly appreciate it.

Make sure you are using the BBToNuke packages. These are the ones specifically designed for phpNuke.

You should upload the entire folder structure, which should match to what you have in phpNuke

Usually it will consist of

includes
modules/Forums
modules/Private_Messages
themes

Then you upload to the root of your phpNuke and run the upgrade script in your browser.

Worth noting, you'll want to do each incremental upgrade on the way.

So you'll want to go from .20 to .21, then .21 to .22 and finally .22 to .23 -- this will ensure you get the correct database changes made in order.

As to where to put the files such as 22-23_upgrade.php, I generally put them in the "root" directory of my Nuke install and run them from there. you'll want to be sure to delete this file after you've run it to avoid any security issues.
